Terms of Use of the SIEG Website

These Terms of Use (“Terms”) apply to the SIEG website at www.si-eg.ch and all associated websites operated by SIEG, its subsidiaries, or affiliates and linked to www.si-eg.ch (collectively, the “Website”).

The Website is the property of the Swiss Institute for Emotional Intelligence and Credibility (“SIEG”) and its licensors.

By using this Website, you agree to the Terms of Use. If you do not agree to the Terms, do not use the Website.

SIEG reserves the right to change, add to, or update these Terms of Use at any time at its sole discretion. Please check regularly for any adjustments. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. Provided that you comply with these Terms of Use, SIEG grants you a personal, non-exclusive, non-transferable, and limited right to visit and use the Website.

All text, graphics, user interfaces, photographs, trademarks, logos, sounds, illustrations, and computer code (collectively, “Content”) contained on this Website – including design, structure, selection, coordination, expression, overall appearance, and arrangement – are owned, controlled, or licensed by SIEG. They are protected by copyright, trademark, patent, and competition law, as well as other laws protecting intellectual property.

Except as expressly permitted in these Terms of Use, no part of the Website or its Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, translated, transmitted, or otherwise made available – including by so-called “mirroring” – to other servers, websites, or media for purposes of publication, distribution, or commercial use without the prior written consent of SIEG.

You may use information about SIEG products and services (e.g., data sheets, technical documentation, or comparable materials) that has been expressly made available for download on the Website – provided that:

1. You do not remove any copyright or proprietary notices in the documents,
2. You use this information exclusively for personal, non-commercial purposes and do not publish it on networked systems or media,
3. You do not make any changes to the content, and
4. You do not make any additional representations or warranties regarding the documents provided.

It is prohibited to use automated or manual procedures such as “deep-linking,” “page-scraping,” “robots,” or “spiders” to access, copy, monitor, or otherwise capture parts of the Website or its Content. Likewise, it is not permitted to circumvent the navigation structure or presentation of the Website in order to obtain materials, documents, or information by means not expressly authorized. SIEG reserves the right to prohibit such activities.

You must not attempt to gain unauthorized access to any part or feature of the Website, to any systems or networks connected to the Website, or to any SIEG server – by hacking, “password-mining,” or any other illegitimate means.

Likewise, it is not permitted to test the Website or any network connected to it for vulnerabilities, to circumvent security measures, or to manipulate authentications. Tracking or collecting information about other users or visitors to the Website, including customer accounts, is prohibited. In particular, no personal data of third parties may be disclosed or attempts made to disclose it.

You agree not to take any action that places an excessive load on the infrastructure of the Website or the networks of SIEG. Likewise, no devices, programs, or software may be used that disrupt or impair the operation of the Website or ongoing transactions.

Falsifying headers or other identifying marks to conceal the origin of communications, as well as impersonating another identity or authorization, is prohibited.

The Website and its Content may not be used for unlawful purposes or in a manner that violates these Terms of Use or infringes the rights of SIEG or third parties.

Certain features or services offered on or through the Website may require you to create a user account (including setting up a SIEG ID and password). You are solely responsible for maintaining the confidentiality of your access data – especially your password – and for monitoring all activities that occur under your account.

If you become aware of any unauthorized use of your account or password, or any security breach, you agree to notify SIEG immediately. You may be held liable for damages incurred by SIEG or any other user of the Website due to the use of your account or password by a third party.

You are prohibited from using the SIEG ID, password, or user account of another person without their express consent. SIEG assumes no liability for any loss or damage arising from your failure to comply with these obligations.

By using this Website, you also acknowledge and agree that data transmissions over the Internet are never completely private or secure. You understand that any message or information you send to the Website may be viewed or intercepted by others – even if there is a specific notice that certain transmissions (e.g., of payment data) are encrypted.

SIEG DOES NOT WARRANT THAT THE WEBSITE OR ANY CONTENT, SERVICE OR FEATURE OF THE WEBSITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE WEBSITE WILL PROVIDE SPECIFIC RESULTS. THE WEBSITE AND ITS CONTENT ARE DELIVERED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. ALL INFORMATION PROVIDED ON THE WEBSITE IS SUBJECT TO CHANGE WITHOUT NOTICE. SIEG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SIEG DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE WEBSITE AND/OR ANY SIEG SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE WEBSITE AND ANY LINKED SITES.
YOUR SOLE REMEDY AGAINST SIEG FOR DISSATISFACTION WITH THE WEBSITE OR ANY CONTENT IS TO STOP USING THE WEBSITE. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

SIEG RESERVES THE RIGHT TO DO ANY OF THE FOLLOWING, AT ANY TIME, WITHOUT NOTICE:

1. to modify, suspend or terminate operation of or access to the Website, or any portion of the Website,
2. to modify or change the Website, or any portion of the Website, and any applicable policies or terms; and
3. to interrupt the operation of the Website, or any portion of the Website, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

Except where prohibited by law, in no event will SIEG be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if SIEG has been advised of the possibility of such damages.

If, notwithstanding the other provisions of these Terms of Use, SIEG is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Website or any Content, SIEG’s liability shall in no event exceed the greater of (1) the total of any subscription or similar fees with respect to any service or feature of or on the Website paid in the six months prior to the date of the initial claim made against SIEG (but not including the purchase price for any SIEG hardware or software products or similar support program), or (2) CHF 100.00.

Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitation may not apply to you.

You agree to indemnify and hold SIEG, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against SIEG by any third party due to or arising out of or in connection with your use of the Website.

SIEG reserves the right to disclose any information in its possession (including personal data) if such disclosure is necessary in connection with investigations or complaints regarding your use of the website, or if it appears necessary to identify, contact, or take legal action against persons who violate or interfere with the rights or property of SIEG or other visitors to the website — whether intentionally or negligently.

SIEG reserves the right at all times to disclose any information that SIEG deems necessary to comply with any applicable law, regulation, legal process or governmental request. SIEG also may disclose your information when SIEG determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that SIEG may preserve any transmittal or communication by you with SIEG through the Website or any service offered on or through the Website, and may also disclose such data if required to do so by law or SIEG determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process,

1. to comply with legal requirements,
2. enforce these Terms of Use,
3. respond to claims that any such data violates the rights of others, or
4. protect the rights, property or personal safety of SIEG, its employees, users of or visitors to the Website, and the public.

You agree that SIEG may, in its sole discretion and without prior notice, terminate your access to the Website and/or block your future access to the Website if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Website. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to SIEG, for which monetary damages would be inadequate, and you consent to SIEG obtaining any injunctive or equitable relief that SIEG deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies SIEG may have at law or in equity.

You agree that SIEG may, in its sole discretion and without prior notice, terminate your access to the Website, for cause, which includes (but is not limited to)

1. requests by law enforcement or other government agencies,
2. a request by you (self-initiated account deletions),
3. discontinuance or material modification of the Website or any service offered on or through the Website, or
4. unexpected technical issues or problems.

If SIEG does take any legal action against you as a result of your violation of these Terms of Use, SIEG will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to SIEG. You agree that SIEG will not be liable to you or to any third party for termination of your access to the Website as a result of any violation of these Terms of Use.

These Terms of Use shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. The exclusive place of jurisdiction for all disputes arising out of or in connection with the use of this Website shall be – to the extent permitted by law – Visp, Canton of Valais (Switzerland).

Both parties undertake to first seek an amicable solution in good faith in the event of any differences of opinion or conflicts arising from the use of the Website. If no agreement is reached within thirty (30) days, either party may request mediation. If no agreement is reached as a result, both parties are free to assert their rights and claims in court under applicable Swiss law.

Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees.

SIEG administers and operates the Website from its location in Visp, Switzerland; although the Website is accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Website are available to all persons or in all geographic locations, or appropriate or available for use outside Switzerland. SIEG reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area.

Any offer for any feature, product or service made on the Website is void where prohibited. If you choose to access the Website from outside Switzerland, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Website, in violation of any applicable laws or regulations, including without limitation Swiss and international export laws and regulations.

If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect.
These Terms of Use constitute the entire agreement between you and SIEG with regard to your use of the Website, and any and all other written or oral agreements or understandings previously existing between you and SIEG with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with SIEG, SIEG will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected.

SIEG’s failure to insist upon or enforce strict performance of these Terms of Use shall not be construed as a waiver by SIEG of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between SIEG and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.Although the Website may contain international information, references to SIEG products, programs and services do not imply that SIEG intends to announce such products, programs or services in your country.

Any feedback you provide at this site shall be deemed to be non-confidential. SIEG shall be free to use such information on an unrestricted basis.
